By accessing or using the Site, you are agreeing to these Terms and concluding a legally binding contract with Memth.
Do not access or use the Site if you are unwilling or unable to be bound by the Terms.
Description of Service:
Memth is a social interaction application with unique matrix design for people and places.
Memth encourages you to write on the squares available in an easy and simple way to find, review and talk about you and your local area.
It's about real people getting connected by giving their honest and personal thought and opinion on everything from restaurants and retail to coffee shops and bars.
Memth provides its Members matrix to discover and interact with each other while reviewing, talking, sharing opinion about local findings.
Using the Site:
To access or use the Site, you must be 18 years or older and have the requisite power and authority to enter into these Terms.
You may not access or use the Site if you are a competitor of ours or if we have previously banned you from the Site or closed your account.
Permission to Use the Site:
We grant you permission to use the Site subject to the restrictions in these Terms.
Your use of the Site is at your own risk, including the risk that you might be exposed to Content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate.
The Site may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability.
You must create an account and provide certain information about yourself in order to use some of the features that are offered through the Site.
You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account.
You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason.
Your account is for your personal, non-commercial use only. In creating it, we ask that you provide complete and accurate information about yourself to bolster your credibility as a contributor to the Site.
You may not impersonate someone else (e.g., adopt the identity of a celebrity or your next-door neighbour), create or use an account for anyone other than yourself,
provide an email address other than your own, or create multiple accounts.
If you use a pseudonym, take care to note that others may still be able to identify you if, for example, you include identifying information in your reviews,
use the same account information on other sites, or allow other sites to share information about you with Memth.
Communications from Memth and other Users
By creating an account, you agree to receive certain communications in connection with the Site.
For example, you might receive compliments or friend connects from other Users.
You will also receive our weekly e-mail newsletter about happenings in your neighbourhood.
You can opt-out of non-essential communications here.
Change of Terms:
We will provide notice to you of any material change in the Terms by posting notice to the Site and sending you an email to the email address that we have on record for you.
Your continued use of the Service 30 days after our notice to you of a change in the Terms will mean that you have agreed to be bound by the amended Terms.
Change of Services:
The Services that Memth provides are always evolving and the form and nature of the Services that Memth provides may change from time to time without prior notice to you.
In addition, Memth may stop permanently or temporarily providing the Services or any features within the Services to you or to users generally and may not be able to provide you with prior notice.
We also retain the right to create limits on use and storage at our sole discretion at any time without prior notice to you.
The Services may include advertisements, which may be targeted to the content or information on the Services, queries made through the Services, or other information.
The types and extent of advertising by Memth on the Services are subject to change.
In consideration for Memth granting you access to and use of the Services, you agree that Memth and its third party providers and partners may place such advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others.
As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages.
These communications are considered part of the Services and your Memth account, which you may not be able to opt-out from receiving.
Modification of Services:
We reserve the right to modify or discontinue, and restrict or block access to, the Service without notice to you.
We may modify or remove any content from the Service at any time without notice to you, including removal of content that we believe to be obscene,
lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable.
We are not liable for any such modification, suspension, discontinuance or removal, and any such action by us will not affect Memth's license to your content as stated below.
Content of the Services:
All content, whether publicly posted or privately transmitted, is the sole responsibility of the User who generates such content.
We may not monitor or control the content posted via the Services and, we cannot take responsibility for such content.
Any use or reliance on any content or materials posted via the Services or obtained by you through the Services is at User’s own risk.
We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any content or communications posted via the Services or endorse any opinions expressed via the Services.
You understand that by using the Services, you may be exposed to content that might be offensive, harmful, inaccurate or otherwise inappropriate,
or in some cases, postings that have been mislabelled or are otherwise deceptive. Under no circumstances will Memth be liable in any way for any content,
including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available via the Services or broadcast elsewhere.
Graphical representation on the Memth is reflection of content shared by you and Memth will not be held liable for it.
You are responsible for your use of the Services, for any content you provide, and for any consequences thereof, including the use of your content by other users and our third party partners.
You understand that your content may be rebroadcasted by our partners and if you do not have the right to submit content for such use, it may subject you to liability.
Memth will not be responsible or liable for any use of your content by Memth in accordance with these Terms.
You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any contents that you submit.
We are under no obligation to enforce the Terms on your behalf against another user. While we encourage you to let us know if you believe another user has violated the Terms, we reserve the right to investigate and take appropriate action at our sole discretion.
You agree not to, and will not assist, encourage, or enable others to use the Site to:
Violate our Content Guidelines, for example, by writing a fake or defamatory review, trading reviews with other businesses, or compensating someone or being compensated to write or remove a review;
Violate any third party's rights, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
Threaten, stalk, harm, or harass others, or promote bigotry or discrimination;
Promote a business or other commercial venture or event, or otherwise use the Site for commercial purposes, except in connection with People & Business Account and as expressly permitted by Memth;
Send bulk emails, surveys, or other mass messaging, whether commercial in nature or not; engage in keyword spamming, or otherwise attempt to manipulate the Site's search results or any third party website;
Solicit personal information from minors, or submit or transmit pornography; or
Violate any applicable law.
You also agree not to, and will not assist, encourage, or enable others to:
Violate the Terms;
Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the Site or Site Content (other than Your Content), except as expressly authorized by Memth;
Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index any portion of the Site or any Site Content;
Reverse engineer any portion of the Site;
Remove or modify any copyright, trademark or other proprietary rights notice that appears on any portion of the Site or on any materials printed or copied from the Site;
Record, process, or mine information about other users;
Access, retrieve or index any portion of the Site for purposes of constructing or populating a searchable database of business reviews;
Reformat or frame any portion of the Site;
Take any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on Memth's technology infrastructure or otherwise make excessive traffic demands of the Site;
Attempt to gain unauthorized access to the Site, user accounts, computer systems or networks connected to the Site through hacking, password mining or any other means;
Use the Site or any Site Content to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature (collectively, "Viruses");
Use any device, software or routine that interferes with the proper working of the Site, or otherwise attempt to interfere with the proper working of the Site;
Use the Site to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, the Site or Site Content; or
Remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Site, features that prevent or restrict the use or copying of Site Content, or features that enforce limitations on the use of the Site.
The restrictions above only apply to the extent permissible under applicable law. Nevertheless, you agree not to act contrary to them (even if permissible under applicable law) without providing 30 days' prior written notice to us here, together with any information that we may reasonably require to give us an opportunity to provide alternative remedies or otherwise accommodate you at our sole discretion.

Copyright and Trademark Disputes
Content Protected by Intellectual Property Rights:
Any content available through the Service, Including applications, Software, Memths, Text, Audio, Video, Pictures, Graphics, Charts, Music, Sound clips, Images, Agrees, Disagrees, Personal information and other works of authorship (collectively, "Content") is protected by the intellectual property rights of Memth or its Licensors.
Establishing an Account to Post Content:
To post content on the Site, you must first complete the Site registration process to create an account with a user name and password (the "Account"). You may not share your password with anyone unless you are a minor, in which case you may share your password with your parents or other legal guardians. You must always provide accurate current and complete information to Memth for the Service.
You must update such information in a timely manner to maintain its accuracy and completeness. Any use of the Service through your Account will be deemed as being used by you. Memth is entitled to rely on the contact and other information that is supplied to us through your Account. Your Account is non-transferable and non-assignable.
Ownership of Your Content:
You retain ownership of your rights in any content you post to the Service, subject to the non-exclusive rights that you grant to us as described in these Terms.
Your License to Memth:
Subject to your right to terminate your license to us as described in Section 5(C), you hereby grant Memth an irrevocable, perpetual, worldwide, royalty-free, freely transferable, freely sub-licensable (through unlimited levels of sublicense), non-exclusive license to use, reproduce, modify, transmit, distribute, publicly perform and display (including in each case by means of a digital audio and video transmission), advertise in, on, and around, and create derivative works of the content you submit or make available for inclusion on or through the Service, and to incorporate such content into other works in any form, media, or technology now known or later developed.
You also hereby waive any moral rights you may have under the laws of any jurisdiction in content you submit or make available on or through the Service. We may (but are not obligated to) display your content, including your username and your actual name (according to the preferences you select).
Your right to terminate the License. For content consisting of photos, graphics, charts, audio or video (but not, for clarity, any content solely in the form of text) that you have submitted or made available for inclusion on or through the Service, you may remove or modify such Content from the Service at any time. Your removal of such content from the Service will terminate our license to such content. But if prior to such removal or modification, Memth has distributed, or developed specific plans to distribute, any electronic, printed, or other materials containing such content (e.g., in advertising, promotion or otherwise), then Memth has a limited right to continue to distribute those materials. If you want Memth to stop distributing the materials, simply send us written notice to stop distributing such materials, in which event we will stop distributing the materials within 30 days.
User Contact Submissions:
When you submit ideas, suggestions, documents, or proposals (collectively, "Submissions") to Memth through our feedback page or email, you represent, warrant, and agree that: (a) your Submissions do not include confidential or proprietary information; (b) if we so choose, Memth may use and disclose your Submissions in any way; and (c) Memth has no obligation to pay or reimburse you for your Submissions or our use of your Submissions.
You must not post to the Service any content that, as reasonably determined by Memth, is or appears to be the following; untrue, misleading, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive to another person's privacy or protected data, hateful, or racially or otherwise objectionable; infringing upon a third party's intellectual property rights, including any patent, trademark, trade secret, copyright, right of publicity, including any content that is the subject of any claim of infringement; of a type that you do not have a right to transmit under any law or under contractual or fiduciary relationships, such as proprietary and confidential information; unsolicited, undisclosed or unauthorized advertising; software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; data or information obtained through access that was not authorized by the owner, or that you are not authorized to post; or in violation of any applicable local, state, national or international law (including export laws).
License by Memth to You. You must respect the intellectual property laws protecting our Service. Memth grants you a limited, revocable, non-transferable, non-sublicensable, non-exclusive license, under the rights Memth has in the Content, to privately display and perform the Content on your computer for your own personal, non-commercial purposes.
Reservation of Rights:
On its own behalf and the behalf of its licensors, Memth reserves all rights in the content, including any software, not expressly granted in the above section. Memth does not in any way grant any other rights to you. Except as expressly stated in the above section , you may not reproduce, distribute, modify, publicly perform or display, or prepare derivative works of any content, including any software, without prior written consent from Memth or other third-party owner of the rights in that Content (if any).
Right to Terminate:
We may, at any time, without notice to you, terminate your access to the Service, and your account, or block your access to the Service if: we believe in our sole discretion that you may have violated these Terms or have otherwise engaged in any activities that may harm or damage the reputation, rights, person, or property of Memth, our users, or any other person; requested by law enforcement or other government agencies; or your Account has extended periods of inactivity.
Notice of Termination:
If applicable law requires us to provide notice of termination or cancellation, we may give prior or subsequent notice by posting it on the Site or by sending a communication to any address (email or otherwise) that we have of you in our records.
Effect of Termination:
Upon termination of your account or the Service, your agreement with Memth pursuant to these Terms will also terminate, except that the following provisions survive the termination. If your account or access to the Service is terminated, you may no longer have access to the content you posted on the Service.
Compliance with Laws:
You are responsible for compliance with applicable local laws. Access to the Service content by certain persons or in certain countries may not be legal. No Agency; No Third Party Beneficiary. These Terms do not create any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship. Except for the Indemnified Persons, there are no third party beneficiaries of these Terms. No Waiver. The failure of any party to exercise or enforce any right or provision of these Terms, including any failure to act with respect to a breach, will not constitute a waiver of such right or provision or that party's right to act with respect to subsequent or similar breaches. We suggest that you print out a copy of these Terms for your records.
